Prishtina 05/10.2016 – Ministri i Zhvillimit Ekonomik, Blerand Stavileci ka deklaruar se projektligji për Trepçën ka për qëllim krijimin e infrastrukturës ligjore e cila synon një zhvillim të qëndrueshëm ekonomik përmes hapjes së rrugës për investime, rritjen e vlerës së aseteve, dhe avancimin e kapitalit tekniko-teknologjik si parakusht për vitalizmin e “Trepçës”, jetike për mirëqenien sociale të punëtorëve dhe interesin e përgjithshëm publik.

Këto komente Stavileci i bëri në mbledhjen e sotme të Qeverisë, duke prezantuar Projektligjin për “Trepçën”, ku theskoi se dispozitat e këtij projektligji përcaktojnë transformimin e disa njësive biznesore të Ndërmarrjes Shoqërore “Trepça” në Shoqëri Aksionare me ç’rast Qeveria e Republikës së Kosovës do të jetë pronar i 80 për qind të këtyre aksioneve, ndërsa punëtorët pronarë të 20 për qind të aksioneve. “Më detajisht dhe më saktësisht nenet tjera të kapitullit që bënë fjalë për aksionarët, i rregullojnë këto çështje”, tha ai.

Sipas tij, ky projektligj trajton nëpërmjet kapitujve të tij, edhe këto çështje specifike:  resurset minerale, bartja e pasurive të drejtave dhe burimeve njerëzore, statusin, regjistrimi dhe qeverisja e Shoqërisë Aksionare, mundësia e formimit edhe të njësive tjera biznesore, mundësia e pjesëmarrjes së sektorit privat, çështje sociale dhe raportin me komunitetin, pretendimet e kreditorëve si dhe dispozitat kalimtare dhe përfundimtare.

“Natyrisht që ne jemi në kuadër të një procesi i cili nuk përfundon me kaq. Ne qysh në fillim kemi marrë secili prej institucioneve detyrat tona: komisioni parlamentar trajtimin e disa rasteve studimore; Agjencia Kosovare e Privatiizmit përgatitjen e Studimit të Fizibilitetit; dhe që pastaj hap rrugë pra për Strategjinë Zhvillimore të “Trepçës”. Edhe në ligj e kemi precizuar që gjashtë muaj më së voni nga hyrja në fuqi e këtij ligji, Qeveria së bashku me Bordin Mbikëqyrës të Ndërmarrjes, do t’ia prezantojnë Kuvendit për aprovim Strategjinë Zhvillimore të saj”, tha ai.

Më tej Stavileci tha se duke e ditur që kjo Ndërmarrje nuk është një Ndërmarrje e thjeshtë dhe karakteri i punëve që janë aty ka  një karakter shumë komercial, atëherë kemi dashur që shumë më shumë t’i jepin trajtën e një Shoqërie Aksionare e cila i hap në të ardhmen rrugë investimeve,  po ashtu edhe tek pjesa ku flet për punëtorët një lloj kontributi i cili lidhet edhe me performancën e tyre në bazë të njësive biznesore ku ata janë të punësuar. Pra, kemi një ndërmarrje e cila në trajtën e një Shoqërie Aksionare, e cila i ka të definuara shumë mirë me parimet e qeverisjes korporatave, dhe të cilat janë të përfshira edhe këtu.

“Jemi munduar pra që në kuadër të kapitullit të qeverisjes sa më mirë t’i specifikojmë funksionet e dy strukturave kryesore organizative të nivelit më të lartë në hierarkinë e kësaj Shoqërie, Bordit Mbikëqyrës dhe Bordit Menaxhues, dhe natyrisht që në shumë çështje tjera mbetet të precizohen nëpërmjet Statutit të saj”, tha kreu i MZHE-së.

Ministri Stavileci vlerësoi se një kapitull shumë i rëndësishëm është ai i mundësisë së pjesëmarrjes së sektorit privat, që qysh tani ky aset i rëndësishëm të nis rrugën e  saj të revitalizimit dhe të jetë i hapur për investime të ndryshme. “Ne e dimë që sektori minerar në përgjithësi, dhe fushat e veçanta të cilat i trajton në këtë rast edhe mineralet dhe xehet “Trepça”, sot për sot në botën bashkëkohore i kemi disa modele të investimeve të cilat janë të preferuara. Ne edhe këto i kemi paraqitur, pra katër forma të mundshme të tyre: partneriteti publiko-privat; investimet private direkte; investimet e përbashkëta; po ashtu meqenëse kemi të bëjmë me një lloj shoqërie të tillë, edhe mundësia e shitjes dhe emetimit të aksioneve”, tha ai.

I pari i MZHE-së, nënvizoi se një tjetër risi është edhe kapitulli për çështje sociale dhe komunitetin. “Pra, kemi bërë edhe këtu në kuadër të principeve që kanë sot korporatat gjithandej, ta fusim konceptin e ri të përgjegjësisë sociale. Po ashtu edhe një përqindje e caktuar, e kemi si propozim, e rentës minerare, të jetë e dedikuar për komunitetin, në mënyrë që të mundësoj investime në fushën e infrastrukturës, mbrojtjes së mjedisit, shëndetësisë, arsimit dhe sportit”, ka thënë Stavileci.

Prishtina 05/10/2016 – Minister of Economic Development, Blerand Stavileci said the Trepca Draft intends to create the legal infrastructure which aims sustainable economic development through opening the way for investment, increasing asset value, and advancing its technical and technological capital, as a prerequisite for vitalizing the “Trepca”, which is essential for the social welfare of workers and wide public interest.

Stavileci made these comments at today’s Government meeting, where he presented the Draft on “Trepca”, stressing that the provisions of this draft determine the transformation of several business units of the Social Enterprise “Trepca” into a Joint Shareholding Company, wherein the Government of the Republic of Kosovo will be the owner of 80 percent of the shares, and the workers will own 20 percent. “For more details and specifics see articles of chapters that regulate issues dealing with shareholders,” he said.

According to him, the draft chapters address the following specific issues: mineral resources, transfer of property rights and human resources, status, registration and governance of the Shareholding Company, the possibility of forming other business units, the possibility of participation by the private sector, social issues and relationship with the community, creditors’ claims as well as transitional and final provisions.

“It is understood that we are part of a process that does not end there. Since the beginning every institution received its tasks: case studies from the parliamentary commission; feasibility study from the Privatization Agency of Kosovo; which open the way for the Development Strategy for “Trepca”. We have even included it in the law, that at the latest six months from the entry into force of this law, the Government together with the Supervisory Board of the Company, will present to the Assembly for its approval of the Development Strategy,” he said.

Stavileci also said that since this enterprise is not a simple enterprise, and since the character of the works therein are of a more commercial character, the desire was to give it the form of a Joint Stock Company which opens the way for investment in the future. Also, to the workers, a kind of contribution linked to their performance in the business units they are employed. Therefore, we have an enterprise which is in the form of a Joint Stock Company, with very well defined principles of corporate governance, and which are included here.

“In the chapter on governance, we tried very much to specify the functions of the two main organizational structures of the highest level of hierarchy of this Company, the Supervisory Board and the Management Board, and of course many other issues remain to be specified through its Statute,” said the head of MED.

Minister Stavileci stated that a very important chapter is the possibility of private sector participation, so that this important asset could already be on its way towards revitalization and to be open to different investments. “We know that regarding the mining sector in general, and the specific areas which relate in to Trepca’s minerals and ores, we have some preferred investment models. We have presented these, that is, four possible forms of public-private partnership; direct private investments; joint ventures; as well as the possibility of sale and issue of shares, since we are dealing with such a type of company” he said.

The first of the MED noted that another novelty is the chapter on social and community issues. “Here as well, under the principles applied by corporations everywhere today, we have made efforts to introduce the new concept of social responsibility. We have a proposal, that a certain percentage, a mineral rent, to be dedicated to the community, in order to facilitate investment in infrastructure, environmental protection, health, education and sport,” said Stavileci.
